Terms of Service

These Terms of Service constitute a legally binding agreement between you and Journalit, operated by Noesis Systems Pte Ltd.

1. Acceptance of Terms

By using Journalit, including the website at journalit.co, applications, and plugins including the Obsidian plugin, you agree to these Terms. If you do not agree, you must not access or use the Service.

2. Description of Service

Journalit is a trading journal and analytics platform designed to help users track, analyse, and review trading activity.

The Service may include:

  • Obsidian Plugin - local-first journaling stored in your own vault
  • Backend Services - optional cloud features such as sync and integrations
  • Website - account management, billing, and documentation

We may modify, suspend, or discontinue any part of the Service at any time.

3. Eligibility and Authority

You represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • If you use the Service on behalf of an entity, you have authority to bind that entity to these Terms
  • The information you provide to us is accurate and complete

We reserve the right to refuse access to the Service at our discretion.

4. Account Registration and Security

To use certain features, you may need to create an account.

You agree to:

  • Provide accurate and complete registration information
  • Keep your login credentials confidential and secure
  • Notify us promptly of any unauthorised use of your account
  • Be responsible for all activity that occurs under your account

We are not liable for any loss or damage resulting from unauthorised access to your account caused by your failure to maintain account security.

5. Subscription, Payments, and Billing

Free Tier

Certain features of the Service may be available without payment and may not require an account.

Paid Subscriptions

By purchasing a subscription, you agree to pay all applicable fees and charges. Paid subscriptions renew automatically unless cancelled before the end of the current billing period.

Payments are processed through Stripe or another payment provider we may designate.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period unless otherwise required by law. No partial refunds are provided for unused subscription periods unless required by law.

Free Trial

We may offer a free trial, including a 14-day free trial, for some plans. If you do not cancel before the trial ends, your paid subscription will begin automatically and you will be charged the applicable fee.

Lifetime Access

If offered, "Lifetime Access" means access for the lifetime of the Service or the relevant purchased offering, not your lifetime.

Lifetime Access:

  • Applies only to the plan, features, and scope described at the time of purchase
  • Does not guarantee access to future features, products, add-ons, or tiers unless expressly stated
  • May be subject to reasonable usage limits, fair use limits, rate limits, or credits for hosted features
  • Is non-transferable and limited to the purchasing account

Refund Policy

Subscriptions are non-refundable except where required by law.

Lifetime Access purchases are refundable within 14 days of purchase unless otherwise stated at checkout or required by law. If a refund is issued, access associated with that purchase may be revoked.

To request a refund, contact support and include the email address used for purchase and relevant order details. Refunds are processed through the original payment method where possible.

Promotions, Referral Links, and Anti-Abuse

We may use promotional, referral, or affiliate links to attribute subscription sign-ups and subscription purchases to the correct partner, prevent abuse, and reconcile internal commission records.

We may reject, reverse, or ignore referrals that we reasonably believe involve self-referrals, fraudulent traffic, cookie tampering, automated traffic, charge abuse, or other attempts to manipulate attribution or payouts.

6. Intellectual Property and Ownership

All rights, title, and interest in and to the Service, including all software, code, systems, algorithms, designs, trademarks, branding, infrastructure, databases, documentation, and related materials, are and remain our exclusive property or the property of our licensors.

Your Content

You retain ownership of the content and data you submit to the Service, including your trades, notes, and journal entries ("User Content").

Licence to Journalit

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, analyse, and otherwise use your User Content as necessary to:

  • Operate and provide the Service
  • Maintain and improve the Service
  • Develop, support, and secure our systems and features
  • Comply with legal obligations

No Confidentiality

Unless we expressly agree otherwise in writing, User Content submitted through the Service is not treated as confidential information.

7. Licence to Use the Service

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for its intended purposes.

This licence may be suspended or terminated if you breach these Terms or if we discontinue the Service or relevant features.

8. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable law or regulation in connection with the Service
  • Reverse engineer, decompile, disassemble, copy, reproduce, or create derivative works from the Service except where prohibited by law
  • Attempt to gain unauthorised access to any part of the Service or related systems
  • Interfere with, disrupt, or compromise the security or operation of the Service
  • Use bots, scraping tools, automation, or similar means to access the Service without permission
  • Bypass limits, access controls, credits, usage restrictions, or rate limits
  • Share account credentials with others
  • Upload malware, malicious code, or harmful content
  • Use the Service to build or support a competing product in a way that misuses our systems, content, or proprietary materials

We may investigate violations of these Terms and take any action we consider appropriate, including suspending or terminating access.

9. Trading and Financial Disclaimer

Important: Journalit is a tool for journaling, recordkeeping, and analytics only. It does not provide financial advice, investment advice, trading recommendations, or trading signals.
  • Trading involves risk, including the risk of financial loss
  • Past performance does not guarantee future results
  • You are solely responsible for your trading decisions and actions
  • We are not liable for losses arising from your trading activity or reliance on the Service

10. Data, Storage, Privacy, and User Responsibility

Local data stored in your Obsidian vault remains under your control. You are responsible for maintaining appropriate backups of your local files and data.

Cloud-based features are optional and may require an account, authentication, and internet access.

We are not responsible for data loss, corruption, or unavailability caused by:

  • Failures in your own systems, devices, storage, or network
  • Third-party services or providers
  • User error
  • Force majeure or events outside our reasonable control

You may delete your account through your dashboard, subject to any legal or technical limitations described at the time of deletion. If you need help, you may contact support.

11. Monitoring and Enforcement

We reserve the right, but do not undertake any obligation, to:

  • Monitor use of the Service
  • Investigate suspected violations of these Terms
  • Remove or restrict content
  • Suspend or terminate accounts
  • Cooperate with law enforcement, regulators, or other authorities where required or appropriate

We may take these actions with or without notice where permitted by law.

12. Service Availability

The Service is provided on an "as is" and "as available" basis.

We do not guarantee that the Service will be uninterrupted, secure, error-free, or always available.

The Obsidian plugin may support offline or local-first workflows, but cloud-based features require internet connectivity and account access. We may perform maintenance, modify features, or discontinue parts of the Service at any time.

13. Termination

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms or if we discontinue the Service or part of it.

Upon termination:

  • Your right to use the Service ends
  • Access to paid features and cloud-based features may end immediately
  • Local data in your own Obsidian vault remains yours
  • We may retain certain data where required by law or for legitimate business, security, or compliance purposes

You may stop using the Service at any time. Where available, you may also delete your account through your dashboard.

14. Limitation of Liability

To the fullest extent permitted by law:

  • We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
  • We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages
  • We are not liable for loss of profits, revenue, business, goodwill, opportunity, or data
  • We are not liable for trading losses, investment losses, or business losses arising from use of the Service

Our total aggregate liability for any claim arising out of or relating to the Service or these Terms is limited to the greater of:

  • the amount you paid us in the 12 months before the claim arose
  • SGD 100

15. Indemnification

You agree to indemnify, defend, and hold harmless Journalit, Noesis Systems Pte Ltd, and their directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your infringement of any third-party rights

16. Injunctive Relief

You acknowledge that a breach of these Terms may cause us irreparable harm for which monetary damages may be inadequate. Accordingly, we may seek injunctive or equitable relief in addition to any other remedies available to us, without the need to prove actual damages where permitted by law.

17. Dispute Resolution

If a dispute arises out of or in connection with these Terms or the Service, the parties agree to first attempt to resolve it through good-faith discussions.

If the dispute cannot be resolved informally, either party may bring a claim in a court of competent jurisdiction, subject to Section 18.

Where permitted by law, you agree not to participate in any class action, class arbitration, or representative proceeding against us.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of laws principles.

You agree that the courts of Singapore have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except where applicable law requires otherwise.

19. Changes to These Terms

We may update these Terms from time to time.

We may provide notice of changes through one or more of the following:

  • Email
  • In-app notifications
  • Community or support channels
  • Posting updated Terms on our website

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

20. Consumer Rights

Nothing in these Terms limits any rights you may have under applicable law that cannot be excluded or limited by contract.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

22. Entire Agreement

These Terms, together with any policies or documents expressly incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous understandings, communications, and agreements relating to the Service.
